1. Agreement
These Terms of Use ("Terms") are a binding agreement between you and ACC DIGITAL SOLUTIONS OPC, a One Person Corporation registered with the Securities and Exchange Commission (SEC Reg. No. 2026090266584-61) ("Pick & Paddle", "we", "us"). They govern your use of the Pick & Paddle mobile app, websites and related services (the "Services"). By creating an account or using the Services, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Services. These Terms are entered into electronically, which is valid under the Electronic Commerce Act (RA 8792).
2. Accounts and eligibility
- Age: you must be at least 18 years old to use the Services.
- Accurate information: give true, current information and keep it updated.
- Security: you are responsible for your login and for all activity under your account. Tell us promptly at support@pickandpaddle.com if you suspect unauthorized use.
- Sign-in: you may sign up or log in with an email address and password, or with Google or Apple. Google's and Apple's own terms also apply when you use their sign-in.
- Your profile: any signed-in player can find you by searching your username or display name, and can open your profile, unless one of you has blocked the other. Your profile shows your username, display name, profile photo, the city, region and country you set, whether you have Pro, your match record (matches, wins and losses), commendations, games you have refereed, your achievements and trophies, and, if you are a rated Pro player, your rating and rank. Your email address is never shown to other players.
- One account per person. Accounts may not be shared or transferred.
3. Pick & Paddle Pro (subscriptions)
- Free and Pro: the core Services are free. Pick & Paddle Pro ("Pro") is an optional paid subscription that unlocks the extra features described in the app, including a skill rating (see section 5).
- Bought only through the app stores: Pro is sold only as an in-app purchase through the Apple App Store or Google Play. Your payment is processed by Apple or Google under their terms. We never receive your card or bank details.
- Price: the current price is shown in the app and in the store before you buy. Prices are in Philippine pesos and include applicable taxes. Your purchase receipt is issued by Apple or Google.
- Auto-renewal: Pro renews automatically at the end of each period at the then-current price, unless you cancel at least 24 hours before the renewal date in your App Store or Google Play subscription settings.
- Free trial: if we offer a free trial, you will be charged when it ends unless you cancel before then in your store settings.
- Cancelling: you can cancel anytime in your App Store or Google Play subscription settings. You keep Pro until the end of the period you already paid for. Deleting the app or your Pick & Paddle account does not cancel a store subscription.
- Refunds: because Apple and Google process Pro payments, Pro refunds are handled by Apple or Google under their refund policies. Request a refund through the store you bought from. This does not limit your rights under Philippine consumer law.
- Price changes: we will tell you in advance of any price change, as required by the store, and you can cancel before it applies.
4. Courts and venues
- Venue information: the app shows information about pickleball courts and venues. We add and manage this information. It may be incomplete or out of date, so check with the venue before you go. Tell us at support@pickandpaddle.com if something is wrong.
- Courts held in Pick & Paddle: when organisers set up a game or session, they can show a court as held in Pick & Paddle. This is the organiser's own note. We do not check it with the venue, and it does not reserve or guarantee the court.
- Bookings are with the venue: you cannot book or pay for court time in the app. Any reservation, payment, cancellation or refund for court time is between you (or your organiser) and the venue, under the venue's own rules. Venue staff may record your booking in our venue system; the Privacy Policy explains how that information is handled. We do not collect, hold or process payments for court time, and we charge players no booking fee.
- Our role: we are not responsible for a venue's facilities, services, pricing, availability or conduct. We may update, suspend or remove venue listings at any time.
- Your rights against the venue under the Consumer Act and other laws are not limited by these Terms.
5. Matches, results and ratings
- Ratings are for Pro players: Pro players have a skill rating (MMR), shown as rank tiers. Only Verified matches change ratings. Casual matches never change a rating. Our Privacy Policy explains how ratings are calculated. Ratings are in-app estimates to help you find balanced games and follow your progress. They are not official rankings or federation ratings.
- How scores become final: for ordinary matches, players have 24 hours to respond to the score. If you do not respond, you are treated as agreeing, and the score settles. If the score is corrected, the 24 hours start again. Settled scores count toward ratings, leaderboards and achievements.
- Group Play and Open Play: matches in a Group Play or Open Play session settle much faster, because the next game is waiting. In a Casual match, the scorer can finish the match straight away; otherwise it settles after 60 seconds. In a Verified match, players have a few minutes (currently 3 minutes) to respond, and then silence counts as agreement. Venue Open Play rounds follow the venue's own rules.
- Confirming automatically: in a Casual Group Play or Open Play session, you can choose to confirm scores automatically for the rest of that session. You can turn this off at any time.
- No score: a match that ends with no score entered is cancelled, after 10 minutes in Group Play or Open Play and after 2 hours for other matches.
- Disputes: to dispute a score, tap Report a problem before the match settles. An open report stops the score from settling. A disputed score that is not fixed or withdrawn is cancelled, unless the match's Verified referee upholds it.
- Recalibration: we may restart a player's placement, for example to correct a rating affected by false results. We may also recalibrate ratings periodically, for example once a year, which moves a rating partway back toward the starting rating and asks the player to play placement games again.
- If something still looks wrong: use Report a problem in the app or contact support@pickandpaddle.com. We will review it and may correct or remove the result and adjust affected ratings.
6. Beta and early features
We may offer beta or early-access features. They are provided "as is", may change or be withdrawn at any time, and may be less reliable.
7. Your content
You keep ownership of the content you create or upload (profile details, photos, match entries, club posts, polls and comments). You confirm you have the rights to what you post and that it does not infringe anyone's rights or break these Terms.
8. License you grant us
You give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display and distribute your content as needed to operate and promote the Services (for example, showing your match on the news feed or a leaderboard). This license ends when you delete the content or your account, except for content others have already shared, content we must keep for legal reasons, and anonymised or aggregated data.
9. Feedback
If you send us ideas or suggestions, you give us a perpetual, irrevocable, royalty-free license to use them without obligation to you.
10. Community rules and acceptable use
You are responsible for your content and conduct. You agree not to:
- enter false scores, add players who did not play, or manipulate ratings, leaderboards, achievements or commendations;
- share a venue's check-in PIN or QR code with people who are not at the venue, use a PIN or code you were not given at the venue, or fake or spoof your location to check in;
- harass, threaten, defame or abuse others, or post unlawful, hateful or explicit content (including in your profile, photos, club posts, polls or comments);
- spam, impersonate others, or misrepresent your identity or affiliation;
- make false or abusive reports or disputes;
- interfere with the Services or try to access accounts or data that are not yours.
Our Community Guidelines, available in the app, explain these rules in more detail. We may review, remove or restrict content or accounts that break these rules, and remove results or check-ins made by breaking them, acting reasonably.
11. Location and venue check-in
- Browsing: location features are optional. To show nearby courts, we use your location rounded to about 110 metres, not your exact position, and we do not store it.
- Checking in: you can check in at a venue by scanning the court QR code, which uses your precise location once to confirm you are there, or by entering that day's venue PIN, which works with location turned off. Each check-in attempt is logged to help prevent fake check-ins, without storing your coordinates. The Privacy Policy explains what is logged.
- We do not publicly show your exact home address or real-time location. You are responsible for your own safety when arranging or attending games.
12. Privacy and your settings
Our Privacy Policy, available in the app, explains how we handle your personal data and applies to your use of the Services. Pro players can opt out of leaderboards in Settings > Privacy, and anyone can block other users. Content you choose to make visible to others is not confidential.
13. Personalised experience
We personalise your feed, court and game suggestions, and notifications using your activity, rating, follows and, if you allow it, your location. The Privacy Policy explains this processing and your choices.
14. Personal, non-commercial use
The player Services are for personal, non-commercial use. Venue operators who want their venue listed, updated or removed can contact us at support@pickandpaddle.com. We may have separate agreements with venues. Those agreements do not change your rights under these Terms.
15. Ads and sponsored content
The Services show ads on the Home screen, labelled for example as Sponsored, Advertisement, Presented by or Official partner. Everyone sees the same ads; they are not chosen by tracking your personal activity. We do not endorse advertisers or their products, and any purchase or dealing with an advertiser is between you and the advertiser.
16. Third-party services
The Services rely on third parties, including Apple and Google (app stores, in-app purchases, sign-in and push notifications). Directions links open Google Maps or Apple Maps outside the app. We are not responsible for third-party products or content, and their own terms may apply.
17. Club posts, comments, reporting and blocking
- No private messaging: Pick & Paddle has no private or direct messaging. To talk privately with other players or venues, use your own channels outside the app. We are not responsible for those conversations.
- Club posts: clubs can post announcements, photos and polls, and members can vote and comment. Club content can be seen by others in the club and must follow these Terms.
- Reporting and blocking: you can report content and users, and you can block other users. We review reports and may remove content or restrict accounts to enforce these Terms and keep the community safe (see the Privacy Policy). We do not endorse content posted by users.
18. Interactions with other players
Pick & Paddle is a neutral platform. We do not verify users' identities and are not responsible for their conduct on or off the app. Use good judgment when arranging games or meeting players in person.
19. Inviting friends
You can invite people using a QR code, a share link, a join code or a friend request. The app does not access the contacts on your phone. If you send an invite link to someone through your own channels, you are responsible for sending it appropriately.
20. Achievements, trophies, rank tiers and commendations
The Services may award achievements, trophies and rank tiers based on your activity and results, and players can commend each other. These are in-app recognition only, have no cash or other value, and cannot be transferred. We may change how they work, and we may remove ones earned or given by breaking these Terms (for example, through false results).
21. Clubs
- Running a club: users may create clubs. Club owners and the admins they appoint manage the club, including its members, sessions, announcements, polls and comments. They are responsible for the club's compliance with these Terms.
- Club fees: if a club charges fees (for example, for open play), the club collects them directly, outside the app. We are not part of that payment, do not take a share, and cannot issue refunds for it. Contact the club about any club fee.
- Our rights: we may rename, transfer or remove clubs that impersonate us, misuse our brand or break these Terms.
- Leaving as owner: a club owner must transfer ownership of the club to another member before deleting their account.
22. Our intellectual property
The Services, software and the Pick & Paddle brand are owned by us or our licensors and protected by law. We give you a limited, personal, non-transferable, revocable license to use the Services. You may not copy, modify, reverse-engineer or scrape the Services, or use automated means to collect data from them, without our written permission.
23. Intellectual-property complaints
If you believe content on the Services infringes your copyright or trademark, email support@pickandpaddle.com with your details, the work concerned, where the infringing material is, and a good-faith statement. We will review it, may remove content, and may terminate repeat infringers. The Intellectual Property Code of the Philippines and other applicable laws govern these claims.
24. Disclaimer
The Services are provided "as is" and "as available". To the extent allowed by law, we make no warranties, express or implied, including fitness for a particular purpose, accuracy or uninterrupted operation. Ratings, venue information and recommendations are estimates, not official rankings or advice.
25. Assumption of risk and limitation of liability
Pickleball is a physical activity with a risk of injury. You take part at your own risk and should consult a physician if you have health concerns. To the extent allowed by law, we are not liable for injuries or losses from your athletic activity, from venues' facilities or services, from clubs, or from your dealings with other users or advertisers. To the extent allowed by law, we are not liable for indirect, incidental or consequential damages, and our total liability to you is limited to the greater of ₱5,000 or the Pro fees you paid in the 12 months before the claim. Nothing in these Terms excludes liability for fraud, bad faith or anything else that cannot be excluded under Philippine law.
26. Indemnity
To the extent allowed by law, you agree to indemnify us against claims, losses and expenses arising from your content, your use of the Services, your breach of these Terms or the law, or your infringement of another person's rights.
27. Philippine consumers
Nothing in these Terms limits your rights as a consumer under the Consumer Act of the Philippines (RA 7394), the Internet Transactions Act of 2023 (RA 11967) or other applicable law. You can raise unresolved complaints with the Department of Trade and Industry (DTI).
28. Governing law and disputes
These Terms are governed by the laws of the Republic of the Philippines. We will first try to resolve any dispute in good faith; contact support@pickandpaddle.com. If it is not resolved, disputes go to the competent courts of Baguio City, without prejudice to a consumer's right to file where the law allows. The parties may also agree to mediation or arbitration under the Alternative Dispute Resolution Act (RA 9285).
29. Deleting your account, suspension and termination
- Delete anytime: in the app, go to You > Settings > Help > Delete Account. You can choose to delete your account after 7 days (you can cancel during that time) or delete it immediately. If you can't use the app, email support@pickandpaddle.com from the email address on your account and ask us to delete it. The Privacy Policy explains what is deleted and what we must keep.
- Club owners: if you own a club, you must transfer ownership to another member before you can delete your account.
- Unfinished activity: if you are in a live match, hosting a game, or have an open court booking when your deletion is due, we may need to finish or resolve it first, so the deletion can take longer.
- Cancel Pro separately: deleting your account does not cancel a Pro subscription. Cancel it in your App Store or Google Play settings.
- Our rights: we may suspend or terminate access for breach of these Terms, fraud (including fake scores or fake check-ins), legal requirements, long inactivity, or risk to the Services or other users. Where reasonable, we will tell you why.
- Survival: sections that by their nature should survive termination (for example, the license for content already shared, intellectual property, disclaimers, liability, indemnity and governing law) survive.
30. General
These Terms and the Privacy Policy are the entire agreement between you and us about the Services. They do not create any partnership, agency or employment relationship. If a provision is invalid, the rest remains in effect. Not enforcing a right is not a waiver. You may not transfer your account or these Terms without our consent; we may assign them to an affiliate or successor. We may give notices electronically (in the app or by email).
31. Changes
We may update these Terms or the Services. We will post updated Terms in the app and, for material changes, give reasonable advance notice. If you keep using the Services after the changes take effect, you accept them.
